1. Introduction and Acceptance

Welcome to AdminGEO. These Terms of Service (“Terms”) govern your access to and use of our website (AdminGEO.ai) and our Generative Engine Optimization (GEO) tracking and analytics platform (collectively, the “Services”).

By creating an account via Google OAuth or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

• Service: The GEO tracking, analytics, and optimization platform provided by AdminGEO.
• User Content: Any brand names, keywords, URLs, or search queries you input into the Service.
• GEO Reports: The analysis, data visualizations, and optimization recommendations generated by the Service.
• Third-Party Platforms: External AI models and search engines (e.g., OpenAI, Google Gemini, Anthropic) from which data is observed.

3. Eligibility and Account Security

• Age Requirement: You must be at least 18 years of age to use the Services.
• Google OAuth: You access the Services through your Google account. You are solely responsible for maintaining the security of your Google credentials. AdminGEO is not liable for any unauthorized access resulting from compromised Google accounts.
• Account Responsibility: You are responsible for all activities that occur under your account.

4. License and Permitted Use

4.1. Limited License

We grant you a personal, non-exclusive, non-transferable, revocable license to access the Services and download GEO Reports solely for your internal business purposes.

4.2. Ownership of User Content

You retain all rights to the User Content you input. You grant AdminGEO a limited, worldwide license to process this data to provide the Services and to improve our aggregate analytical models.

5. Prohibited Conduct and Restrictions

You agree NOT to:

• Illegal Use: Use the Services for any purpose that violates local, state, or international laws.
• Scraping & Reverse Engineering: Use automated scripts to "scrape," "crawl," or "index" data from AdminGEO’s dashboard or attempt to reverse-engineer our proprietary algorithms.
• Competitive Use: Access the Services to build, improve, or market a competing GEO or SEO product.
• Data Authority & Fair Use: Input brand keywords or URLs for which you do not have legal authority to monitor, unless such use constitutes "Fair Use" under applicable trademark and intellectual property laws. You are solely responsible for ensuring your compliance with third-party rights.

6. Fees, Payments, and Subscriptions

• Payment Processor: All financial transactions are handled securely by Stripe, Inc.
• Auto-Renewal: Subscription plans automatically renew at the end of each billing cycle unless canceled through your account settings.
• Refund Policy: Except as expressly required by law, all payments are non-refundable. You may cancel at any time to prevent future charges.

7. Generative AI and Data Accuracy Disclaimer

7.1. Nature of AI Outputs

You acknowledge that GEO Reports are derived from third-party Large Language Models (LLMs). You understand that AI outputs are:

• Stochastic: Results may vary significantly between identical queries.
• May contain inaccuracies: AI engines may produce fabricated or inaccurate information about your brand.
• Snapshots: Data represents a snapshot of a specific time and environment and is not a guarantee of global AI behavior.

7.2. No Guarantee of Results

AdminGEO provides data "as-is" for research purposes. We do not guarantee:

• Specific search rankings, mention rates, or ROI.
• 100% representation of all worldwide generative AI outputs.
• That the results should be the sole basis for significant commercial or legal decisions.

8. Service Availability and Third-Party Dependencies

AdminGEO’s ability to provide Services depends on the availability and interfaces of Third-Party Platforms (e.g., OpenAI, Google).

• Changes: If these platforms restrict access, change their interface, or alter their algorithms, AdminGEO may be unable to provide certain features.
• Uptime: We do not warrant that the Services will be uninterrupted or error-free due to these external dependencies.

9. Intellectual Property Rights

AdminGEO.ai, its software, algorithms, logos, and "look and feel" are the exclusive intellectual property of AdminGEO. Your use of the Services does not grant you any ownership rights in our technology.

10. Independence Statement

AdminGEO is an independent analytics platform. We are not affiliated with, endorsed by, or partnered with OpenAI, Google, Anthropic, or any other LLM providers. Our analysis is based on independent research and data observed from public generative engine environments.

11. Limitation of Liability

To the maximum extent permitted by law, AdminGEO shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, brand reputation, or business interruptions arising from AI model behaviors. Our total liability for any claim shall not exceed the amount you paid to AdminGEO in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold AdminGEO harmless from any claims, damages, or legal fees arising out of your violation of these Terms, your misuse of the Services, or your infringement of third-party intellectual property rights regarding the brands you track.

13. Termination

We reserve the right to suspend or terminate your account at our discretion for violations of these Terms. You may terminate your account at any time by contacting team@AdminGEO.ai. Upon termination, your right to access the Services will cease immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Singapore, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Rules.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
